中國大陸自1978年改革開放至今已屆三十年，其以廉價勞動力和極為優渥之租稅優惠為基礎，吸引大量外資進入中國。在1995年6月，當時的對外經貿合作部、國家經濟貿易委員會和體制改革委員會聯合發布了《外商投資產業指導目錄》，將產業類別劃分為鼓勵類、限制類以及禁止類三種，作為吸引外資的規劃，《外商投資產業指導目錄》這十幾年來先後於1997年、2002年、2004年以及2007年作出四次修正，其內容之變動，很大程度上係反映中國對於外商投資產業經濟發展的目標。2002年的修正即是順應中國大陸在加入WTO所做承諾上的調整；最近一次2007年的修正，則體現中國擴大對外開放、促進產業結構升級、落實環境保護、節約資源等特色。
本研究將從中國大陸營業事務准入制度談起，探討中國大陸營業准入之行政許可與審批；隨後進入外商投資中國大陸之研討，包括外資待遇問題、外商投資中國大陸產業發展趨勢；另外研究中國大陸的特許經營模式與其法律規範；以提供台商在大陸內銷市場上的法令攻略。
